UK Accountancy Engagement Standards Effective Date: October 2026

Terms & Conditions of Business

These standard Terms and Conditions outline the basis upon which MH Accountancy UK provides professional accounting, taxation, payroll, and statutory filing services to clients.

1. Engagement & Contract Formation

These Terms and Conditions, together with our specific Letter of Engagement, constitute the entire contract between MH Accountancy UK (“we”, “us”, or “the Practice”) and the client (“you” or “the Client”).

Any instructions given to us, whether written, verbal, or via our website and WhatsApp channels, or receipt of accounting documentation, shall be deemed acceptance of these Terms of Business.

2. Scope of Services

The precise scope of accounting and tax compliance services to be provided is agreed in your Letter of Engagement. Services may include one or more of the following:

  • Annual statutory financial statements for Companies House and HMRC;
  • Sole Trader annual profit and loss accounts;
  • Corporation Tax computations and electronic submission of Form CT600;
  • Self-Assessment individual tax returns (SA100);
  • Quarterly Making Tax Digital (MTD) VAT returns;
  • Payroll processing, PAYE RTI submissions, and workplace pension compliance;
  • Companies House annual Confirmation Statements (CS01);
  • New UK Company formation and Companies House incorporation.

Any additional advice, HMRC enquiry representation, or retrospective bookkeeping requested outside the agreed scope will be quoted separately before work commences.

3. Client Responsibilities & Statutory Accuracy

Under UK law, the directors of a limited company or a self-employed sole trader bear the ultimate legal responsibility for the completeness, accuracy, and truthfulness of their accounting records and tax submissions.

  • Timely Records: You agree to provide all bank statements, receipts, sales invoices, payroll data, and expense records in a timely manner.
  • Full Disclosure: You agree to disclose all sources of income, capital gains, overseas assets, and taxable benefits without reservation.
  • Approval of Returns: All statutory accounts and tax returns must be formally reviewed and approved by you (electronically or in writing) prior to our electronic submission to Companies House or HMRC.

Filing Deadlines Notice: To guarantee on-time submission and avoid statutory late filing penalties, all required books, documents, and queries must be resolved at least 30 days before the relevant statutory HMRC or Companies House deadline.

4. Fixed Fees, Subscriptions & Payment Terms

We operate with 100% upfront fee transparency:

  • Fixed Fee Guarantee: Our fees are fixed as agreed in your quote. No unexpected surcharges or hidden administrative fees will ever be levied without prior written client approval.
  • Monthly Subscriptions: Monthly packages (£75/mo, £120/mo, £175/mo) are billed monthly in advance via recurring payment / direct debit. Subscription coverage requires continuous active membership throughout the accounting year.
  • One-off Service Charges: Standalone assignments (e.g. £1,200 Limited Company Accounts, £250 VAT Return) are invoiced with a 50% initial commencement fee and the remaining 50% upon completion prior to formal submission.
  • Late Payment: Invoices are payable within 14 days of issue. We reserve the right to pause work or suspend electronic submissions where invoices remain unpaid.

5. Anti-Money Laundering (AML) Compliance

Under the UK Money Laundering Regulations 2017 (MLR) and Proceeds of Crime Act 2002, MH Accountancy UK is legally mandated to:

  • Verify the identity and residential address of all company directors, beneficial owners, and key individuals;
  • Conduct ongoing risk assessments and source of funds verification;
  • Report suspicious financial activities to the National Crime Agency (NCA) without informing the client (“tipping off” is a criminal offence under UK law).

We reserve the right to decline or terminate instructions if identity verification requirements are not fulfilled.

6. Professional Indemnity & Limitation of Liability

MH Accountancy UK maintains comprehensive Professional Indemnity Insurance in accordance with UK professional regulatory standards.

To the maximum extent permitted by English law, our aggregate liability to you in respect of any claim arising out of or in connection with our services, whether in contract, tort (including negligence), or breach of statutory duty, shall be limited to a sum equal to three (3) times the total fees paid by you for the specific service in question during the preceding 12 months.

We shall not be liable for any indirect, special, or consequential loss, loss of profits, penalties arising from client delay or incomplete disclosure, or loss of business opportunity.

7. Confidentiality & Data Protection

Both parties agree to treat all financial information, accounting ledgers, and commercial data as strictly confidential. We process all personal information in accordance with our Privacy Policy and UK GDPR.

8. Termination of Engagement

Either party may terminate the engagement by providing 30 days written notice. Upon termination:

  • All outstanding professional fees for work completed up to the termination date become immediately due and payable;
  • We will issue a formal Disengagement Letter outlining your current filing status and upcoming deadlines;
  • Upon receipt of payment, we will cooperate promptly and professionally with any successor accountant to ensure a seamless handover of records in accordance with UK professional clearance protocols.

9. Complaints & Professional Standards

We take the highest pride in providing dependable, proactive accounting services. If you are dissatisfied with any aspect of our service, please contact our Managing Director at info@mhaccountancyuk.com. We will investigate your concern impartially and respond in writing within 10 working days.

10. Governing Law & Jurisdiction

These Terms of Business and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England shall have exclusive jurisdiction.
